Welcome to Hudson House. By partnering with us or using our services, you agree to these Terms of Service. Please review them carefully.

1. Service Overview

Hudson House provides decentralized mobile connectivity solutions by enabling businesses to monetize their existing Wi-Fi networks through partnerships with major mobile carriers. We facilitate technical integration, carrier coordination, and revenue-sharing arrangements on behalf of participating locations.

Our role is strictly as an intermediary and service provider. We do not own or control your network infrastructure and are not responsible for the day-to-day operations of your Wi-Fi network.

2. Eligibility

To participate in our program, you must:

  • Be a legal entity or authorized representative of a business with operational Wi-Fi infrastructure
  • Have legal authority to grant network access and enter into this agreement
  • Comply with all local, state, and federal laws governing telecommunications and data privacy
  • Maintain network uptime and connectivity standards agreed upon during onboarding

3. Earnings and Payments

3.1 Revenue Model: Earnings are based on actual mobile carrier traffic routed through your network. Payment amounts depend on data volume, network quality, location demand, and carrier agreements.

3.2 Payment Terms: Payments are issued monthly, subject to minimum thresholds and carrier settlement timelines. Hudson House reserves the right to adjust payment terms based on carrier contract changes.

3.3 Payment Methods: Payments may be made in USD via ACH, wire transfer, or other approved methods. Cryptocurrency payments are subject to network fees and exchange rate fluctuations.

3.4 No Guarantees: Hudson House makes no guarantees regarding specific earning amounts. Revenue projections provided during onboarding are estimates only and do not constitute a commitment or warranty.

4. Network Requirements

You agree to:

  • Maintain continuous power and internet connectivity to any equipment provided or configured by Hudson House
  • Allow Hudson House or its authorized technicians remote and/or physical access to your network equipment for setup, monitoring, and maintenance
  • Notify us promptly of any network outages, hardware failures, or changes to your internet service provider
  • Not tamper with, relocate, or modify any Hudson House equipment without prior written approval

5. Setup and Equipment

5.1 Installation: Hudson House will assess your network and, if needed, provide or recommend compatible hardware. In most cases, no new equipment is required.

5.2 Equipment Ownership: Any hardware provided by Hudson House remains our property and must be returned upon termination of service in good working condition.

5.3 Damage or Loss: You are responsible for safeguarding Hudson House equipment. Damage or loss due to negligence, theft, or intentional misuse may result in replacement charges.

6. Carrier Contracts

Hudson House maintains agreements with mobile carriers and network providers. These agreements are subject to change without prior notice.

In the event a carrier agreement is modified or terminated, Hudson House will make reasonable efforts to notify you and transition to alternative carriers. However, we are not liable for any loss of earnings resulting from carrier contract changes beyond our control.

7. Data Privacy and Security

7.1 Network Isolation: Carrier traffic is encrypted and segregated from your business and guest networks. Hudson House does not access, collect, or share any data from your private network or end-user devices.

7.2 Compliance: Both parties agree to comply with applicable data protection laws, including but not limited to GDPR, CCPA, and other regional privacy regulations.

7.3 No Monitoring of Personal Data: Hudson House only monitors network performance metrics (e.g., uptime, throughput) and does not collect personally identifiable information (PII) from end users.

8. Termination

8.1 By You: You may terminate your participation at any time by providing 30 days' written notice. All Hudson House equipment must be returned within 14 days of termination.

8.2 By Hudson House: We may terminate or suspend services immediately if you breach these Terms, fail to maintain network requirements, or engage in fraudulent activity.

8.3 Post-Termination: Outstanding payments earned prior to termination will be processed according to our standard payment schedule. No refunds will be issued for equipment installation or setup costs, if applicable.

9. Limitation of Liability

Hudson House is not liable for:

  • Loss of revenue due to network outages, carrier contract changes, or force majeure events
  • Damage to your network or equipment caused by third-party service providers, natural disasters, or cyber attacks
  • Indirect, incidental, or consequential damages resulting from your use of our services

Our total liability under these Terms shall not exceed the total payments made to you in the preceding 12 months.

10. Dispute Resolution

Any disputes arising from these Terms shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be settled through binding arbitration in accordance with the rules of the American Arbitration Association.

The arbitration shall take place in Los Angeles County, California, and both parties agree to waive the right to a jury trial.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles.

12. Changes to Terms

Hudson House reserves the right to modify these Terms at any time. We will notify active participants of material changes via email or through our website.

Continued participation after notification constitutes acceptance of the updated Terms.
